Dream Blend Solutions Private Limited (referred to as "Billing Book") provides a mobile app, desktop app, and website. When we mention "User" or "You," we mean anyone using these apps and services, whether as an individual or on behalf of a company or organization.
By using our apps or services, you agree to follow all the rules and policies we've laid out. This includes things like our Privacy Policy, Acceptable Use Policy, and Refund Policy. These terms apply to everyone using our apps and services, unless we've made other arrangements in writing.
Before you start using our apps or services, please read these terms carefully. If you don't agree to everything we've laid out here, then you shouldn't use our apps or services. If you do use them, it means you're agreeing to abide by these terms.
Whenever we add new features or tools to our apps or services, they'll also be covered by these terms. You can always find the latest version of these terms on our website. We might update these terms from time to time, so it's a good idea to check back occasionally. If we make changes and you keep using our apps or services, it means you're accepting the updated terms.
These terms include our Privacy Policy, which explains how we handle your personal information. By using our products, you agree to let us use your information as described in the Privacy Policy. You also promise that the information you provide to us is accurate.
The Billing Book Products provide access to invoicing, business and accounting management and online store services through the Mobile Application, Desktop Application, Website and Store.
4.1. Billing Book may revise these Terms of Service at any time by amending this page. The User must check this page from time to time to take notice of any changes made to these Terms, as they are binding on the User.
4.2. Billing Book can change the services we offer, add or remove features, or even stop providing some services altogether, without telling you beforehand. By using our services, you agree to these terms.
5.1. The User agrees that the User shall be bound by these Terms by accessing or using the Billing Book Products, or by otherwise availing of the Services from Billing Book. If the User does not accept these Terms of Service, the User shall not open an account for availing of the Services or using the Billing Book Products.
5.2. For the User’s use of the Billing Book Products and Services, Billing Book grants the User a limited, non-exclusive, non-transferable right to install and / or use the Billing Book Products. However, the User shall not copy the Billing Book Products or any of its components.
5.3. Billing Book gives you permission to access the content we own on our platforms. But if you want to use content owned by someone else, like software providers, you'll need their permission. We don't give you a license for that content. Instead, you'll have to follow the rules set by the owner of that content.
6.1. By agreeing to these terms, you're saying that if you're an individual, you're at least 18 years old and capable of entering into a contract. If you're signing up on behalf of a company or another organization, you're confirming that you have the authority to do so and that it's allowed under the law. You're also confirming that you have the authority to accept these terms on behalf of the organization, and that they're legally binding. These terms apply to all the services provided by Billing Book. If you're signing up for services on behalf of a company or organization, you're also confirming that the organization is bound by these terms.
6.2. If Billing Book changes the rules for who can use its services, and you no longer meet the new criteria, Billing Book can limit or stop your access to the services. Billing Book won't be responsible for any issues caused by this. It's your responsibility to make sure you follow these terms.
6.3. Keep in mind that our products are also subject to any extra rules and the terms of the software you're using. If there's a conflict between those rules, the software terms, and our terms, our terms will be the ones that apply.
6.4. The User agrees that the User shall, as required or instructed by Billing Book, update the Billing Book Products (if so required) and / or any device to operate the Billing Book Products, as may be instructed by Billing Book.
6.5. The User shall co-operate with Billing Book and its officers, representatives, directors and agents and render assistance to the Billing Book in integration of the Billing Book Products, if so required by Billing Book, for the purpose of enabling and providing the Services.
6.6. The User shall ensure that there are proper security measures at its respective desktop, mobile device or other device used to access the Billing Book Products to prevent any hacking and the User accepts all liabilities with respect to any compromise or unauthorized use or disclosure or access to such information.
7.1. The User may not use the Services or the Billing Book Products for any illegal or unauthorised purpose nor may the User, in the use of the Billing Book Products, violate any Applicable Laws (including but not limited to copyright laws). Billing Book reserves the right to refuse or discontinue the Services or the Billing Book Products to anyone for any reason at any time.
7.2. You understand that some features and services on our platform require payment. By using these paid features, you agree to pay the specified fee shown on our platform. We work with authorized partners like banks and payment processors to handle the fee collection. If for any reason we or our partners can't collect the fee, you promise to pay it promptly. If you don't pay the fee, we may stop providing the paid services or limit your access to them.
7.3. The fees for our services can change, and we'll let you know about any changes. If you keep using our services after we've told you about the new fees, it means you agree to them.
7.4. You agree to keep your account information up to date with Billing Book. This includes your email address, phone number, personal details, and payment information. You promise to provide any information or documents that Billing Book needs for you to use the services.
7.5. The User will be required to setup an account with Billing Book on the Billing Book Products for the use of the Services. The User will be required to provide personal details, login information, a password and other information required by Billing Book in connection with the setup of the account. In case of any inaccuracy or material omission in the information provided by the User to Billing Book, Billing Book reserves the right to discontinue provision of the Services or prevent the User’s right to access the Billing Book Products.
7.6. You give Billing Book permission to access all the information stored on the software, including confidential information if necessary to provide the services. Billing Book can store, process, and use your information to provide the services, including storing it on their servers. Even if you're registered on "Do Not Disturb" or similar databases, Billing Book or its affiliates may still contact you by email, phone, or SMS to offer services, share information about Billing Book products, or provide promotional offers from Billing Book, its affiliates, or third parties.
8.1. Billing Book provides the Billing Book Products for use by the Users for availing the Services that are provided by Billing Book. The User agrees that the User shall not use the Billing Book Products or the Services in any manner inconsistent with these Terms of Service, the terms and conditions of the Software Providers, or in breach of Applicable Laws.
8.2. To use Billing Book products or services, you need to have an active computer or mobile phone, electricity, internet connection, and other necessary utilities or infrastructure. If any of these things are not working properly, and it affects your ability to use Billing Book products or services, it's your responsibility. You won't hold Billing Book responsible for any problems caused by these issues Services.
8.3. You're responsible for keeping your user account safe and secure. You own your password, and you'll be responsible if someone else uses your account without permission. If you lose your password or if someone steals it, let us know right away. We'll block your account to keep it safe.
8.4. The User shall not redistribute, sublicense, rent, publish, sell, assign, lease, market, transfer, or otherwise make the Billing Book Products or any component or content thereof, available to any third parties prior the prior written consent of Billing Book.
8.5. The User shall not, directly or indirectly, attempt to exceed the scope of authorized access to the Billing Book Products, account information or other areas of the Billing Book Products or solicit passwords, transfer any part of Your account to any third party.
8.6. The User shall not circumvent or disable any digital rights management, usage rules, or other security features of Billing Book Products; remove, alter, or obscure any proprietary notices (including copyright notices) on any portion of the Billing Book Products; and not use the Billing Book Products in a manner that threatens the integrity, performance, or availability of the Billing Book Products.
These rules are meant to ensure a safe and respectful environment for everyone using Billing Book's products and services.
8.9. The User shall not use the Billing Book Products or the Services for any purpose that might be construed as contrary or repugnant to any applicable law, regulation, guideline, judicial dicta, or public policy or for any purpose that might negatively prejudice the goodwill of Billing Book or violate the Terms of Service.
8.10. The User agrees and accepts that the use of Billing Book Products is subject to the Acceptable Use Policy, which is incorporated into these Terms of Service by reference. The Acceptable Use Policy may be updated from time to time and it is the responsibility of the User to keep updated about any changes. Any restrictions under the Acceptable Use Policy shall be in addition to and not in derogation with these Terms of Service.
8.11. The User agrees and accepts that Billing Book shall not and is not required to mediate or resolve any dispute or disagreement between User and customers.
9.1. Billing Book can stop providing its products or services to you and end its relationship with you for various reasons, including:
Billing Book can also remove content and suspend or terminate your account if the products or services you offer violate the Acceptable Use Policy or these Terms of Service.
10.1. Billing Book is not responsible if information made available on the Billing Book Products (including any information in relation to the Services) is not accurate, complete or current. The material on the Billing Book Product is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting, primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this Billing Book Product (including any information in relation to the Products) is at the User’s own risk.
10.2. The Billing Book Products may contain certain historical information. Historical information, necessarily, is not current and is provided for the User’s reference only. Billing Book reserves the right to modify the contents of the Billing Book Product at any time, but Billing Book has no obligation to update any information on the Billing Book Products. The User agrees that it is the User’s responsibility to monitor changes to the Billing Book Products or any other information provided in connection with the Services.
10.3. Billing Book undertakes no obligation to update, amend or clarify information on the Billing Book Products or on any related website, or in relation to the Services, including without limitation, pricing information, except as required by Applicable Laws. No specified update or refresh date applied in the Billing Book Product or on any related website, should be taken to indicate that all information in the Billing Book or on any related website has been modified or updated.
11.1. Billing Book doesn't provide any warranty for its products or services, whether implied, express, or statutory. This includes warranties of non-infringement of third party rights, title, merchantability, satisfactory quality, or fitness for a particular purpose. While Billing Book tries to use technology to secure its products and prevent unauthorized access, it doesn't guarantee uninterrupted service or error-free content. Billing Book also can't guarantee that its products or services are free from computer viruses or other harmful code. Billing Book offers its products and services "as is," "where is," and "with all faults."
11.2. The User acknowledges that he/she has not solely relied on any representation/warranty madeby Billing Book or its service providers, subcontractors or agents and has made independent assessment of Billing Book Products, Billing Book’s products/services, including without limitation, the Billing Book Products. It is the User’s responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the Billing Book Products or on the Internet generally.
ALL OTHER WARRANTIES, WHETHER LEGAL, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR USAGE OR FOR THE INTENDED USE THEREOF ARE EXPRESSLY EXCLUDED IN CONNECTION WITH THE USE OF THE BILLING BOOK PRODUCTS OR SERVICES.
The User shall be solely responsible for all goods and services it provides through the Store including their description, price, fees, tax, any required legal disclosures, compliance and any offers or promotional content.
The User shall be solely responsible for setting and displaying the terms and conditions for sales on the Store including without limitation policies for sale, refund, return and their timelines.
The User shall inform its customers in a clear and cogent manner in its terms and conditions of sale that the goods and services being provided on the Store are provided by the User and not by Billing Book.
12.1. Billing Book and its affiliates won't be held responsible for any indirect, incidental, or special losses that might happen when using their products or services. This includes things like downtime costs, loss of revenue, or data. They're not liable for any harm resulting from unauthorized access to your account, technical issues, or other events beyond their control.
12.2. Billing Book won't be held responsible for any problems caused by third parties, like equipment providers or service companies. They're also not liable for any issues arising from unauthorized use of their products by others, or if your devices or data are lost or stolen. Additionally, if Billing Book has to restrict your access for legal reasons or regulatory compliance, they won't be responsible for any inconvenience it causes you.
NOT WITH STANDING ANYTHING TO THE CONTRARY, IN NO EVENT, SHALL BILLING BOOK OR ANY OF ITS DIRECTORS, EMPLOYEES, AGENTS AND/OR PERSONNEL, BE LIABLE TO THE USER OR ANY PERSON FOR ANY DAMAGES, LIABILITIES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO: (I) THESE TERMS OF SERVICE, THE SERVICES, THE BILLING BOOK PRODUCTS, OR ANY REFERENCE SITE, APP, PRODUCTS OR SERVICES; OR (II) THE USER’S USE OR INABILITY TO USE THE SERVICES, THE BILLING BOOK PRODUCTS, OR OTHER PRODUCTS OR SERVICES OF BILLING BOOK OR ANY REFERENCE SITE; OR (III) ANY OTHER INTERACTIONS WITH BILLING BOOK; HOWEVER CAUSED AND WHETHER ARISING IN CONTRACT, TORT OR IN EQUITY INCLUDING NEGLIGENCE, WARRANTY OR OTHERWISE, BEYOND OR INEXCESS INR 1,000, OR ANY AMOUNT AS MAY BE PERMITTED UNDER APPLICABLE LAWS, WHICHEVER IS LOWER.
12.3. Billing Book will try its best to keep their services running smoothly, but there may be times when they need to do maintenance or face technical issues. They cannot guarantee that their products or services will always be free from errors, viruses, or other harmful code. They use industry-standard security measures to protect your data, but they can't guarantee that these measures will always be foolproof. If there's a disruption in their services, they'll work hard to fix it quickly.
12.4. Billing Book isn't accountable for any content users upload to their platform. They're also not liable for any damages or losses users may experience from using or relying on content found on their platform, like lost profits or business interruptions. It's up to the user to assess the accuracy and usefulness of the information they find on Billing Book's platform.
13.1. Billing Book may provide the User with access to third-party tools and services and certain content, products and services available by Billing Book may include materials from third-parties which Billing Book neither monitor nor have any control over. Third-party links on the Billing Book Product may direct the User to third-party websites that are not affiliated with Billing Book.
13.2. The user understands that Billing Book provides access to links, websites, tools, and services as they are, without any warranties or endorsements. Billing Book won't be responsible for any third-party materials or websites, including their products or services. They have no liability for the use of optional third-party tools and services. Users are advised to carefully review third-party policies and address any issues directly with them.
14.1. The user must not introduce any malicious software or attempt unauthorized access to Billing Book's products or servers. Doing so would be considered a criminal offense under the Information Technology Act, 2000. If such a breach occurs, Billing Book will report it to law enforcement and cooperate by disclosing the user's identity. In such cases, the user's right to use Billing Book's products and services will be terminated immediately.
14.2. Billing Book will not be liable for any loss or damage caused by a virus, denial-of-service attack, distributed denial-of-service attack, or other technologically harmful material that may infect the User’s computer equipment, computer programs, data or other proprietary material due to the User’s use of the Billing Book Products or the User’s downloading of any information and contenton it, or on any website linked to it.
14.3. The User should use the User’s own virus protection software. Billing Book cannot and do not guarantee or warrant that files available for downloading from the Billing Book Products will be free of infection by viruses, worms, trojan horses or other code that manifest contaminating or destructive properties.
The User’s cancellation of subscription of Billing Book Products and applicable refunds shall be governed by Billing Book Cancellation and Refund Policy
Referrals made by existing Users of Billing Book Products to invite new users to register and purchase subscription of Billing Book Products shall be governed by Billing Book
17.1. All Intellectual Property Rights in the Billing Book Products or the Services belong to Billing Book or the applicable third-party owner of such rights, including without limitation, the Software Providers. Nothing in these Terms of Service shall operate to transfer any Intellectual Property Rights beyond the specific licenses, as may be specifically agreed in writing. Billing Book retains ownership of all right, title to, and interest in any and all Intellectual Property Rights developed, owned, licensed or created by the Billing Book.
17.2. No part or parts of the Billing Book Products may be reproduced, distributed, republished, displayed, broadcast, hyperlinked, transmitted, adapted, modified to create derivative works or otherwise commercially exploited in any manner or by any means or stored in an information retrieval system without Billing Book prior written permission. The User may view, print or use Billing Book’s content for personal, non-commercial use only, provided further that the User does not modify the content and that the User retains all copyright notices and other proprietary notices contained in the content.
17.3. The user cannot claim any ownership or rights over Billing Book's intellectual property, including their products or services. They're not allowed to alter, reverse engineer, or modify any of Billing Book's intellectual property without explicit written permission. This includes converting code into human-readable form, examining code behavior, or making any changes without consent.
18.1. Billing Book does not claim any Intellectual Property Rights over the Content You provide on the Store. All rights in the Content a User uploads remain with the User.
18.2. By uploading Content, You agree: (a) to allow other internet users to view the Content you post publicly to your Store; (b) to allow Billing Book to store, and in the case of Content you post publicly, display and use your Content; and (c) that Billing Book can, at any time, review and delete all the Content submitted through a Billing Book Product, although Billing Book is not obligated to do so.
18.3. You retain ownership over all Content that you upload to the Store; however, by making your Store public, you agree to allow others to view Content that you post publicly to your Store. You are responsible for compliance of the Content with any applicable laws or regulations.
18.4. You can't claim ownership of Billing Book's stuff, like their products or services. Don't mess with their intellectual property or try to change it without their permission. That means no converting code, peeking into how it works, or making alterations without their say-so.
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
If Billing Book does not exercise a right under these Terms of Service, shall not constitute a waiver of such right. Waiver of any right, remedy or breach of any subject matter contained in these Terms of Service shall not be viewed as a waiver by Billing Book, unless specifically agreed by Billing Book in writing.
22.1. In these Terms of Service, a "Force Majeure Event" means any unexpected event or situation, like war, natural disasters, pandemics, or government restrictions, that: (a) wasn't caused by either party, and (b) stops one party from fulfilling its duties under these terms (except for paying money) or providing the Services.
22.2. If a Force Majeure Event happens, the party that can't fulfill its obligations (the "Nonperforming Party") won't be held accountable for those duties affected by the event. The Nonperforming Party must quickly inform the other party about the event, how it impacts their ability to perform, and estimate how long it might last. They should keep the other party updated as needed. During the event, the Nonperforming Party will try their best to minimize any harm to the other party and get back to fulfilling their obligations as soon as they can.
The User agree that no joint venture, partnership, employment, or agency relationship exists between the User and Billing Book as a result of these Terms of Service, the User’s use of the Billing Book Products, or the availing of Services from Billing Book.
The user can't transfer their rights and responsibilities under these Terms of Service without Billing Book's written permission. Billing Book, however, can transfer these rights and responsibilities to anyone they choose.
These Terms of Service will follow Indian laws, without considering conflicts between different laws.
If there's a disagreement between the user and Billing Book, they should try to resolve it friendly within 30 days of it happening.
If they can't solve it within 30 days, they can choose to have the disagreement settled through arbitration. Billing Book will appoint a single arbitrator based in Bangalore, and the arbitration will be conducted in English. Whatever decision the arbitrator makes will be final for both the user and Billing Book.
In these Terms of Service, "Confidential Information" refers to all kinds of secret information, like documents or trade secrets, related to the user's business practices. Billing Book must keep this information safe from misuse and take necessary steps to protect it.
If the information becomes public without Billing Book's fault.
If Billing Book already knew the information before receiving it from the user, or if they later learn it from another source without similar confidentiality restrictions.
If they need to share it with their employees, consultants, auditors, advisors, or shareholders who are bound by confidentiality duties, or if required by law or government order.
If they need to share it with their partners to provide services.
If they're required to disclose it to comply with the law.
If the user gets any Confidential Information from Billing Book, they must keep it safe and not disclose it without Billing Book's written permission.
The rights and remedies of Billing Book provided in this Terms of Service are not exclusive, but are cumulative upon all other rights and remedies to the full extent allowed by law.
29.1. You may cancel your account and terminate the Terms of Service at any time by contacting Billing Book support and then following the specific instructions indicated to you in Billing Book’ response.
29.2. If either you or Billing Book ends the services for any reason:
Billing Book will stop providing you with the services, and you won't be able to access your account any more.
Unless the Terms of Service say otherwise, you won't get any refunds for the fees you've paid, even if you cancel partway through.
Any fees you still owe Billing Book for using paid services up to the date of termination will need to be paid immediately.
Your store will be deleted.
29.3. Billing Book can change or end their products or the Terms of Service, or your account, at any time and for any reason, without telling you beforehand. If the Terms of Service end, any rights or responsibilities from before it ended still apply.
These Terms and Conditions are the whole deal between Billing Book and you about what they're offering and what you're agreeing to. They replace any other agreements, whether written or spoken, between Billing Book and you.
